Please read these terms carefully. By submitting a contact form enquiry, entering into an engagement agreement, or using services provided by Padu Works, you agree to be bound by these Terms and Conditions. For questions, contact us at legal@paduwad.
1.Definitions
In these Terms and Conditions, the following terms have the meanings set out below:
- "Padu Works", "we", "us", "our" โ the consulting firm registered and operating in Malaysia, providing services from Level 8, Menara TH Perdana, Jalan Sultan Ismail, 50250 Kuala Lumpur.
- "Client", "you", "your" โ the individual, company, or other organisation that engages Padu Works for consulting services or uses the website.
- "Services" โ any consulting, advisory, facilitation, or documentation services provided by Padu Works, including the Cash Flow & Working Capital Review, Business Model Refinement Workshop, and Regulatory Readiness & Licensing Support.
- "Engagement" โ a specific, agreed scope of work governed by a written scope statement and these Terms.
- "Deliverables" โ written reports, frameworks, workbooks, action plans, and other documents produced by Padu Works in the course of an engagement.
- "Agreement" โ these Terms and Conditions together with any written scope statement or engagement confirmation.
- "Fees" โ the fixed fees stated in the engagement scope statement, denominated in Malaysian Ringgit (RM).
- "Website" โ the Padu Works website at paduwad.
2.Acceptance of Terms
These Terms and Conditions apply to all use of the Padu Works website and to all consulting services provided by Padu Works. By using the website or engaging our services, you confirm that:
- You are at least 18 years of age, or are acting on behalf of an organisation with authority to enter into a binding agreement;
- You have the legal capacity to enter into a contract under Malaysian law;
- You have read, understood, and agree to be bound by these Terms.
If you are entering into an engagement on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
3.Description of Services
Padu Works provides business consulting services to small and medium enterprises (SMEs) operating in or from Malaysia. Our current service offerings are:
- Cash Flow & Working Capital Review โ a two-week analytical engagement producing a written cash flow health report and 90-day action plan (fee: RM 580);
- Business Model Refinement Workshop โ a facilitated three-day workshop for leadership teams, including pre-session interviews, a custom workbook, and a post-session synthesis document (fee: RM 1,900);
- Regulatory Readiness & Licensing Support โ a six-week advisory engagement covering regulatory mapping, documentation support, and compliance framework development (fee: RM 3,200).
Services are available to businesses operating in Peninsular Malaysia. Delivery at locations outside the Klang Valley may require agreement on additional travel costs. All services are delivered in English.
Service availability is subject to current consultant capacity. Padu Works reserves the right to decline to enter into an engagement if we are at capacity or if we determine that our services are not suitable for a client's situation.
4.Engagement Process
Each engagement begins with an initial conversation to assess suitability. If we proceed, Padu Works will issue a written scope statement setting out:
- The specific service to be delivered;
- The agreed fixed fee and payment terms;
- The engagement timeline and key milestones;
- The deliverables to be produced;
- Any specific inputs or data required from the client.
The engagement is confirmed when the client provides written acceptance of the scope statement and the deposit payment (where applicable) has been received. Work does not commence until both conditions are met.
Changes to scope requested after the engagement has begun will be discussed openly. Minor scope adjustments may be accommodated within the agreed fee. Material scope changes will be addressed through a revised scope statement at an agreed additional fee.
5.Fees and Payment
5.1 Fees
Fees are fixed at the amounts stated in the scope statement, denominated in Malaysian Ringgit (RM). All fees are stated inclusive of any applicable SST unless otherwise noted. Padu Works will confirm SST registration status at the time of engagement if relevant.
5.2 Payment Terms
- A deposit of 50% of the engagement fee is due upon confirmation of the engagement;
- The remaining 50% is due upon delivery of the final deliverable(s);
- For the Business Model Workshop, the full fee may be required in advance due to the nature of facilitation preparation involved โ this will be stated in the scope statement;
- Payment is accepted by bank transfer to Padu Works' nominated account. Details are provided on the invoice.
5.3 Late Payment
If payment is not received within 14 days of the due date, Padu Works reserves the right to suspend work until the outstanding amount is settled. Continued non-payment may result in termination of the engagement under clause 10.
5.4 Expenses
Travel expenses for engagements outside the Klang Valley, if applicable, will be stated in the scope statement and invoiced at cost. No expenses are charged for engagements delivered from our Kuala Lumpur office or remotely.
6.Client Responsibilities
The quality and utility of our deliverables depends in part on the accuracy and completeness of information provided by the client. You agree to:
- Provide accurate and complete information and documents as requested within the timeframes specified in the scope statement;
- Make the relevant personnel available for interviews, workshops, and review sessions as agreed;
- Notify Padu Works promptly if any information previously provided has changed materially;
- Use Padu Works' deliverables in good faith and in accordance with their intended purpose;
- Not misrepresent Padu Works' findings, recommendations, or involvement in any external communication.
If delays in providing required information cause the engagement timeline to extend beyond the agreed period, Padu Works is not liable for the delay and the timeline will be revised accordingly.
7.Intellectual Property
7.1 Deliverables
Upon full payment of all fees, Padu Works grants the client a non-exclusive, non-transferable licence to use the deliverables produced under the engagement for the client's internal business purposes. The client may share deliverables with their own advisors, lenders, or regulators in connection with the purposes for which they were produced.
7.2 Padu Works Methods
All proprietary methodologies, frameworks, templates, and facilitation materials developed by Padu Works remain the intellectual property of Padu Works. The client may not reproduce, resell, or adapt these materials for use outside the engagement without written consent from Padu Works.
7.3 Client Data
All business data, financial records, and documents provided by the client remain the property of the client. Padu Works will handle such data in accordance with the engagement scope and the Privacy Policy, and will not use client data for any purpose outside the engagement.
8.Confidentiality
Padu Works treats all client information as confidential. We will not disclose client data, business information, or engagement details to any third party except:
- Where required by applicable Malaysian law or a lawful authority;
- Where the client has provided written consent;
- In anonymised or generalised form for case study and marketing purposes, provided no client-identifying information is included.
This confidentiality obligation continues for a period of five years following the conclusion of an engagement.
If a formal non-disclosure agreement is required by the client, we are prepared to enter into one prior to engagement commencement. Please raise this during the initial conversation.
9.Disclaimers
Padu Works provides consulting advisory and facilitation services. Our deliverables reflect our professional assessment of the information made available to us. The following disclaimers apply:
- Our services do not constitute legal advice, legal representation, accounting services, or financial planning. Where legal or accounting advice is required, clients should engage appropriately qualified professionals.
- Deliverables are based on information provided by the client and information available to us at the time of the engagement. We cannot be held responsible for decisions made on the basis of information that was inaccurate, incomplete, or not disclosed to us.
- Outcomes described in case studies or marketing materials reflect specific situations and are not a representation that similar outcomes will be achieved in your engagement.
- Our website content is provided for informational purposes and does not constitute an offer of services in any jurisdiction where our services are not available.
10.Termination
10.1 Termination by Client
A client may terminate an engagement by providing written notice. If the engagement has commenced, the deposit paid is non-refundable. If work has progressed beyond the deposit value, fees are payable for work completed to the date of termination, calculated on a pro-rated basis against the total engagement fee.
10.2 Termination by Padu Works
Padu Works may terminate an engagement if:
- The client fails to make payment within 14 days of the due date and the matter is not resolved after written notice;
- The client materially fails to fulfil obligations under clause 6, preventing the engagement from proceeding;
- Circumstances arise that, in our reasonable assessment, make delivery of the service impossible or inappropriate.
In the event of termination by Padu Works for reasons outside our control, fees will be refunded on a pro-rated basis for work not yet commenced.
10.3 Post-Termination
Clauses relating to confidentiality, intellectual property, limitation of liability, and governing law survive termination of an engagement.
11.Limitation of Liability
To the maximum extent permitted by applicable Malaysian law:
- Padu Works' total liability in connection with any engagement shall not exceed the total fees paid by the client for that engagement;
- Padu Works is not liable for any indirect, consequential, incidental, or special losses or damages, including loss of profit, loss of business opportunity, or reputational harm;
- Nothing in these Terms excludes liability for fraud, wilful misconduct, or death or personal injury caused by negligence.
12.Governing Law and Dispute Resolution
These Terms and Conditions are governed by and construed in accordance with the laws of Malaysia. Any dispute arising from or in connection with an engagement or these Terms shall be subject to the exclusive jurisdiction of the courts of Malaysia.
Before initiating formal proceedings, both parties agree to attempt to resolve any dispute through good-faith discussion. If a dispute cannot be resolved informally within 30 days of written notice, either party may pursue formal legal remedies.
13.General Provisions
- Entire Agreement: These Terms, together with the relevant scope statement, constitute the entire agreement between the parties regarding the subject matter of the engagement.
- Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions continue in full force.
- Waiver: A failure to enforce any provision of these Terms does not constitute a waiver of the right to enforce it in the future.
- Assignment: The client may not assign its rights or obligations under these Terms without Padu Works' prior written consent. Padu Works may assign its rights in the event of a business transfer, with notice to the client.
- Notices: Formal notices under these Terms should be sent to the addresses stated in the scope statement. Email is sufficient for day-to-day engagement correspondence.
14.Changes to These Terms
Padu Works may update these Terms and Conditions from time to time. The current version will always be published on the website with an effective date. For ongoing engagements, the Terms in effect at the time the scope statement was confirmed govern that engagement. New or renewed engagements will be subject to the Terms current at that time.
